At Adgencia we want to offer a Digital Marketing service that includes Web Design, SEO Search Engine Optimisation, Pay Per Click Campaigns, Facebook Advertising, Google AdWords, PPC Ads, Ad Management, Analytics Reports (add any other customised service).

In addition to reading these Conditions, before accessing, browsing and/or using this website, or using the mobile application, the User must have read the Legal Notice and the General Conditions of Use, including the cookies policy and Adgencia’s privacy and data protection policy. By using this website and the application or by performing and/or requesting the purchase of a service through this website, the User agrees to be bound by these Terms and all of the above, and if the User does not agree with all of the above, the User must not use this website.

You are also advised that these Terms and Conditions may be amended from time to time. The User is responsible for consulting them each time he/she accesses, browses and/or uses the Website and the app, as those in force at the time the purchase of products and/or services is requested will be applicable.

Fees

Fees include both the charges for our service, those levied by the competent authority, courier service if necessary, and which are paid by the client.

Our company’s fees are non-refundable after your application and payment has been submitted, as well as payments made on your behalf to the authorities. The cost of the management service will depend on the service contracted.

By contracting our services you are accepting this terms and conditions policy and agreeing to be bound to Adgencia OÜ., which is assuming a number of administrative responsibilities and is liable as the financial institution that processes the applicant’s payments going through adgencia.com, including taxes, compliance risk, billing, refund requests or any other disputes. The Merchant of Record ensures that all digital transactions are encrypted and protected through high-tech firewalls and physical security, handled accurately and in full compliance with the Law Regulations.

Limitation of Liability

Except as otherwise provided by law, Adgencia will not accept any liability for the following losses, regardless of their origin
any loss of data, devices, passwords that were not attributable to any breach by you; business losses (including loss of profits, revenue, contracts, anticipated savings, data, loss of goodwill or unnecessary expenses incurred); or any other indirect loss that was not reasonably foreseeable by both parties at the time the contract was concluded between both parties.

Adgencia also limits its liability in the following cases Adgencia applies all measures concerning the provision of an accurate display of the services on the Website, however it is not liable for any minor differences or inaccuracies that may exist due to lack of screen resolution, or problems with the browser being used or other such problems, non-delivery of documentation, technical problems, etc.

Adgencia shall not be liable for damages arising from a malfunction of the application, or of the user’s mobile device or account, error in the user’s provision of information, truthfulness and accuracy of the data.

Technical failures that due to fortuitous or other causes, prevent normal operation of the service via the Internet. Lack of availability of the website or the application for maintenance or other reasons, which prevents the availability of the service. Adgencia puts all the means at its disposal to carry out the process of purchase, payment and provision of services, however it is exempt from liability for causes that are not attributable to it, fortuitous event or force majeure.

Adgencia will not be responsible for the misuse and/or wear and tear of the products that have been used by the User. Nor shall Adgencia be liable for the User’s erroneous return of the amounts charged to the User’s current account. It is the User’s responsibility to immediately notify Adgencia of any delays in payments made by public administrations for the proper fulfilment of the tax and fiscal obligations of the customers.

In general, Adgencia shall not be liable for any failure or delay in the fulfilment of any of the obligations assumed, when the same is due to events beyond its reasonable control, i.e. due to force majeure, and this may include, but is not limited to, the following

Strikes, lockouts or other industrial action. Civil commotion, riot, invasion, terrorist threat or attack, war (declared or not) or threat or preparation for war.
Fire, explosion, storm, flood, flood, earthquake, subsidence, epidemic or any other natural disaster.
Inability to use trains, ships, aircraft, motor transport or other means of transport, public or private.
Impossibility of using public or private telecommunications systems.
Acts, decrees, legislation, regulations or restrictions of any government or public authority.

If the adviser does not have, at the time of carrying out the assignment, the relevant information or documentation for each specific act in which he is involved, it is completely impossible for him, even with the greatest possible diligence, to carry out the assignment correctly and in accordance with the law.

That the risk of a transaction has been assumed by the client or when acting in accordance with the client’s instructions.

Failure of the Customer to correctly inform Adgencia of all its data, and to provide it with the relevant and truthful information in order to ensure that it is able to carry out the order correctly and in accordance with the law.

In this way, the obligations shall be suspended for the period during which the force majeure continues, and Adgencia shall have an extension of the deadline to fulfil them for a period of time equal to the duration of the force majeure. Adgencia shall use all reasonable efforts to find a solution that will enable it to perform its obligations despite the force majeure.
